What We Need For The Company Registration

The Procedures to Register Your Company in China

The first step is to understand your business goals, industry, and investment scale. Our lawyer will conduct a detailed consultation to provide you with an appropriate proposal. We will explain the legal requirements, timeline, and estimated costs. We also assess whether your proposed business activities fall under encouraged, restricted, or prohibited categories according to the Negative List of the Foreign Investment In China. During this phase, we clarify any questions about shareholder composition, registered capital, and legal representative eligibility. We provide a preliminary roadmap tailored to your specific needs. This step ensures that you have a clear understanding of the entire process before any commitment. Effective communication at this stage prevents misunderstandings and delays later.

If needed, we can help you select a suitable commercial space that meets local requirements for business licensing. Options range from serviced offices to traditional leases. Once the office is confirmed, we assist in gathering all necessary incorporation documents. These include lease contracts and landlord’s property certificates, identification documents for shareholder(s) and director(s). Foreign documents must be notarized and apostilled (or legalized by the Chinese embassy or consulate), depending on the country. We will also prepare the application forms, the Articles of Association, and the power of attorney. All documents are reviewed for compliance with local Market Regulation Administration(MRA) standards, ensuring a smooth application process.

After document preparation, we submit the application to the local AMR. The authority verifies the company name, registered capital, business scope, and registered address. Upon approval, you receive the Business License, which includes a unique 18-digit Uniform Social Credit Code( It’s also the tax number of this entity). This license legally establishes your company in China. Next, we assist in engraving the mandatory company stamps: the corporate stamp, financial stamp, and legal representative stamp. Stamps engraving must be done at the local public security bureau-designated shop. Once completed, your company or entity is legally recognized and can proceed to open the corporate bank accounts and register with tax and social insurance authorities.

With the business license and stamps, we will help you open the corporate bank account (both CNY and foreign currency accounts) at a bank of your choice. The legal representative usually needs to appear in person. Simultaneously, we register your company with the local tax bureau to obtain tax registration certificates and determine your tax status (e.g., General VAT Payer or Small-Scale Taxpayer). We also complete registration for social insurance (pension, medical, unemployment, work injury) and the housing provident fund. These registrations are mandatory for employing staff. We provide guidance on contribution bases and deadlines. Proper setup at this stage ensures your company can invoice customers, pay employees, and comply with all statutory obligations.

To build your team, we offer recruitment support, including job posting services, candidate screening, and headhunting coordination. Once candidates are selected, we can handle employment contract drafting (ensuring compliance with Chinese labor law) and complete the onboarding procedures. This includes collecting necessary personal documents of the employees, signing labor contracts, registering new employees with the social insurance and housing fund authorities, and setting up payroll records. We also advise on labor risk control, such as probation periods, non-compete clauses, and termination procedures.
