What Is a WFOE? China Wholly Foreign-Owned Enterprise Explained

A WFOE (Wholly Foreign-Owned Enterprise) is a limited liability company established in mainland China that is 100% owned by foreign investors — no Chinese partner is required. It is the most popular legal structure for foreign companies entering China because it can invoice clients in RMB, hire local staff, sign contracts, and repatriate profits legally.

Why Foreign Companies Choose a WFOE

A WFOE gives the foreign parent full control and full operational freedom. Unlike a representative office, which cannot issue invoices or hire staff directly, a WFOE is a complete, independent company under Chinese law. Most business activities are open to 100% foreign ownership — only sectors listed on China’s Negative List for Foreign Investment require a Chinese partner or special approval.
